Gigbyt – Terms & Conditions

These Professional Terms and Conditions govern the introduction and lead services that Gigbyt Ltd (“Gigbyt”, “we”, “us”, “our”) provides to you via our website and apps. They apply in addition to our Website Terms of Use, Privacy Policy and Cookies Policy (together, the “Terms of Service”).

By creating a Professional account, using our website at www.gigbyt.com or our mobile applications (together, the “Website”), purchasing or using Credits or subscriptions, or by clicking “Accept”, “Sign up” or similar, you agree to be bound by this Agreement as a legally binding contract between Gigbyt Ltd and you (the “Professional”, “you”, “your”).

If you do not agree to these Terms, you must not use the Website or our services.

If you are using our services on behalf of a company or other legal entity, you confirm that you have authority to bind that entity and that “you” will refer to that entity.

1. Definitions and Interpretation

1.1 Definitions

In these Terms, the following words have the meanings set out below:

  • “Account” – your Professional account on the Website.
  • “Add-On Services” – any additional paid features or tools linked to a Subscription (for example, profile promotion tools or similar) as described on the Website from time to time.
  • “Byt” – a request or enquiry from a Prospective Customer submitted via the Website that describes the services they need.
    • “Open Byt” – a Byt made available generally to relevant Professionals, not addressed to a specific Professional.
    • “Direct Byt” – a Byt submitted to, or directed at, a specific named Professional.
  • “Contact” – the contact details and related information of a Prospective Customer associated with a particular Byt, which Gigbyt may make available to you in exchange for Credits.
  • “Customer” – a Prospective Customer who chooses to engage you to provide the End Services, under a separate Customer Contract.
  • “Customer Contract” – the contract between you and a Customer for the supply of End Services. Gigbyt is not a party to this contract.
  • “Credits” – the units you purchase or receive that allow you to access Contacts or otherwise respond to Byts as described on the Website.
  • “Credit Subscription” – a recurring plan under which you receive a fixed number of Credits per billing period in exchange for an automatic, recurring payment.
  • “End Services” – the services you provide to Customers (for example, your trade, professional or freelance services).
  • “Fees” – the prices payable by you for Credits, Subscriptions and Add-On Services, as shown on the Website from time to time (exclusive of VAT or other applicable taxes unless stated otherwise).
  • “Facilitation Services” – the services we provide under this Agreement to introduce Prospective Customers to Professionals, including the sale of Credits, operation of the Website, and any Subscription and Add-On Services.
  • “Gigbyt Verified” – any verification or “verified profile” product offered by Gigbyt, allowing you to display a verification badge or similar indicator once checks have been completed (where available).
  • “Professional”, “you”, “your” – the person or business registered on the Website to offer End Services to Prospective Customers.
  • “Prospective Customer” – any individual or business using the Website to find a Professional for End Services.
  • “Subscription” / “Subscription Services” – any subscription-based plan with automatically recurring payments for use of specific features or tools on the Website (excluding the purchase of one-off Credit packs), including but not limited to profile enhancements, verification plans, or marketplace plans, as described on the Website.
  • “Users” – Customers and Professionals together.
  • “Website”www.gigbyt.com and any associated mobile applications or sub-domains operated by Gigbyt.

1.2 Interpretation

  1. Headings are for convenience only and do not affect interpretation.
  2. References to a “person” include individuals, companies, partnerships, trusts, government bodies and any other legal or non-legal entity.
  3. References to legislation include any amendments, re-enactments or subordinate legislation from time to time.
  4. Words such as “including”, “in particular”, or similar expressions are illustrative and do not limit the generality of related wording.
  5. References to something “in writing” include email.

2. Our Role and the Facilitation Services

2.1 Platform and relationship

Gigbyt provides an online marketplace that enables Customers to request End Services and Professionals to offer such services. We operate the Website to connect Prospective Customers and Professionals, but we do not provide End Services ourselves.

Professionals using the Website are independent contractors and run their own businesses. They are not employees, agents, partners or representatives of Gigbyt.

2.2 No employment or agency

You acknowledge and agree that:

  • Gigbyt does not employ you or any other Professional;
  • Gigbyt does not supervise, direct or control how you deliver End Services; and
  • when a Customer hires you, this is under a Customer Contract between you and the Customer only.

Any End Services are provided under your sole responsibility. Gigbyt’s role is limited to facilitating introductions and providing tools to help you manage and respond to Prospective Customers.

2.3 How Byts work

  1. Prospective Customers use the Website to submit a Byt, describing the services they require and any relevant details (budget, timing, location and so on). The level of detail may vary across Byts.
  2. A Customer can either:
    • submit an Open Byt (sent out to multiple relevant Professionals), or
    • send a Direct Byt to a specific Professional (for example, via your profile).

2.4 Registration and access to Byts

  1. To respond to Byts, you must register as a Professional and create an Account.
  2. Once registered, you may purchase or receive Credits. Where you use Credits in relation to a particular Byt, Gigbyt will:
    • allow you to contact the Prospective Customer directly through the Website, and/or
    • share the Contact details of that Prospective Customer with you.
  3. A Prospective Customer is free to select any Professional, or none at all. If they hire you, they become your Customer, not Gigbyt’s.

2.5 Profiles, reviews and linked websites

  1. When your registration is complete, we may:
    • display a public profile for you on the Website;
    • include a link to your own website (if you provide one); and
    • allow Customers to leave ratings and reviews about their experience with you.
  2. Reviews reflect Customers’ personal opinions. Gigbyt is not responsible for, and does not endorse, any review content. We may (but are not obliged to) remove feedback or content that breaches our Terms of Use, is unlawful, misleading, abusive, or harms the integrity of our review system or business.
  3. You must ensure that any website you link to from your Gigbyt profile complies with all applicable laws and regulations.

2.6 Subscriptions and additional services

If you choose to subscribe to any Subscription Services or Add-On Services, additional fees will apply as displayed on the Website at the time. These may include features such as verified badges, profile boosts, analytics, or enhanced branding tools. Details of what is included in each Subscription tier will be set out on the Website and may change from time to time.

2.7 Account management support

From time to time, Gigbyt may provide account management support to help you get more value from the Website. This may include:

  • SMS reminders about new or outstanding Byts;
  • emails, calls or messages from our customer support or success team; and/or
  • automated prompts or digital assistants designed to help you improve your profile and performance.

Important: Gigbyt’s role is limited to introducing Prospective Customers and providing tools. Any dispute about End Services is between you and the Customer under your Customer Contract.

3. Account Registration and Use

3.1 Checks and verification

We may carry out checks on Users before and/or during their use of the Website. These may include, where applicable:

  • identity and right-to-work checks;
  • confirmation of business details; and/or
  • other background or compliance checks using third-party services.

Although we may carry out such checks, we cannot guarantee that every User is who they say they are or that information is accurate. You are responsible for your own due diligence when dealing with Customers.

3.2 Professional requirements

By creating an Account, you confirm that you:

  1. agree to be bound by this Agreement and the Terms of Service;
  2. operate as a self-employed individual or on behalf of an independent business;
  3. will use the Website only for business purposes;
  4. will comply with all applicable laws and will not use the Website to promote or provide illegal or improperly licensed services;
  5. will comply with any licensing, registration or other requirements that apply to your business;
  6. will respect the privacy, property and data protection rights of Users and treat Users and Gigbyt staff politely and professionally;
  7. will honour commitments you make to Customers, including responding promptly, attending agreed appointments and using any approved payment methods where they are provided through the Website;
  8. will comply with any Professional or seller/code of conduct published by Gigbyt from time to time; and
  9. are at least 18 years old and have capacity to enter binding contracts.

3.3 Your warranties

You further warrant that:

  • you have the legal right to work and trade in the jurisdiction in which you provide End Services;
  • you hold any business licences, registrations, permits or tax registrations required;
  • you have obtained (and will maintain) appropriate insurance for your business and End Services, including cover for damage, injury or professional errors where applicable;
  • you will only offer services that you are competent, qualified and appropriately insured to provide; and
  • all information, images and content you upload to the Website are accurate, not misleading, and you have permission to use them.

3.4 Prohibited conduct

You agree that you (and anyone acting on your behalf) will not:

  1. copy, reproduce, or create derivative works from the Website or its content, except as permitted by law;
  2. reverse engineer or attempt to derive source code from any part of the Website;
  3. use the Website to build a competing platform or service;
  4. sell, rent, licence, transfer or otherwise share Contacts or access to the Website with third parties without our consent;
  5. introduce viruses, malware or any harmful code into Gigbyt’s systems;
  6. manipulate reviews (for example, by reviewing your own services or those of close associates) or abuse the review reporting tools;
  7. attempt to open a new Account if we have previously suspended or banned you;
  8. attempt to bypass Credits by posting your direct contact details publicly on the Website or otherwise soliciting Prospective Customers without redeeming Credits.

3.5 Profile information

You must complete a Professional profile to use the Facilitation Services. You:

  • consent to your profile being visible to Prospective Customers and (unless privacy settings allow otherwise) to the public;
  • must keep all information up to date and accurate; and
  • must not misrepresent your identity, qualifications, experience, location or services.

We may suspend or terminate Accounts containing false, misleading or incomplete information. We may also remove duplicate Accounts offering materially the same End Services.

3.6 Acting for a company

If you open an Account as an employee or agent of a company, you confirm that you are authorised to bind that company and that the company will be responsible for your actions under this Agreement. Multiple authorised people may hold Accounts linked to the same company.

3.7 Additional users under your Account

If you allow employees or other users to act under your Account (where this functionality exists):

  • you confirm they are authorised to act on your behalf; and
  • you remain fully responsible for their actions and any obligations they incur, including payments and Customer Contracts.

If an Account is suspended or closed, we may also suspend or close related Accounts.

3.8 Login details

You are responsible for safeguarding your username and password and for all activity under your Account. You must:

  • keep your login details confidential;
  • notify us promptly if you believe your Account has been compromised; and
  • not use another Professional’s login details without permission.

3.9 Verification products

Where a Subscription includes verification (for example, Gigbyt Verified), it is subject to our ability to complete the required checks. If we cannot verify you or your business, we are not obliged to display any verification badge or symbol.

3.10 Suspension of your Account

If you breach these Terms, misuse the Website, or otherwise act in a way that we reasonably consider harmful, we may suspend or terminate your Account. We will generally provide reasons for suspension or termination unless we are prohibited by law or, in limited cases, where urgent action is needed (for example, in relation to illegal content or serious risk).

3.11 Additional charges for misconduct

If you seriously breach our seller/professional code of conduct, we may charge you an additional administrative fee up to five (5) times the price of the lead you responded to in connection with that breach. This may be taken automatically using your saved payment method. This is intended as a reasonable pre-estimate of the administrative costs we incur and is not a penalty. It does not limit any other rights or remedies we may have.

4. Ranking of Professionals

4.1 How we rank

When a Customer submits a Byt, Gigbyt may display a list of Professionals who appear relevant to the Customer’s request. That list is ordered using a default algorithm that values certain factors.

4.2 Factors we may consider

Among Professionals who offer the requested service in the relevant area, the algorithm may give higher visibility to Professionals who:

  1. have a complete, current and detailed profile;
  2. demonstrate strong performance and positive reviews on Gigbyt;
  3. respond quickly to Byts;
  4. are regularly active on the Website; and/or
  5. use certain Subscription or Add-On Services (where applicable).

4.3 Customer choice

The ranking algorithm does not restrict Customers’ freedom to choose. Customers remain free to select any Professional they wish, including those ranked lower or found via search.

5. Quality of the Facilitation Services

5.1

We will provide the Facilitation Services using reasonable care and skill. Any timescales mentioned for making Contacts available are estimates only and not of the essence.

5.2

Except as expressly set out in this Agreement and to the extent permitted by law, all implied warranties and conditions relating to the Facilitation Services are excluded.

5.3

We do not guarantee that:

  • you will be hired by any Prospective Customer; or
  • any particular Byt will result in work or income for you.

Our service is to provide opportunities to connect with Prospective Customers. If you are not hired, this does not entitle you to a refund of Credits (subject to the limited Credit return rules in clause 9).

6. Your Obligations as a Professional

6.1 Independence

You provide End Services in your own name or your business name, using your own tools, staff, materials and processes. You are solely responsible for how the End Services are carried out.

6.2 Standard of service

You warrant that you (and anyone working for you):

  • will perform End Services with appropriate skill, care, diligence and professionalism;
  • will comply with all applicable laws, guidance and regulations (including data protection, consumer protection and health & safety); and
  • will meet the standard that a reasonable Customer would expect of a competent professional in your field.

6.3 Cooperation with Gigbyt

You agree to:

  1. cooperate with us in relation to the Facilitation Services;
  2. promptly provide any information we reasonably request and ensure it is accurate;
  3. comply with our Website Terms of Use and all policies published on the Website;
  4. comply with any vetting or verification requirements we may impose;
  5. make clear to Customers that End Services are supplied by you, not by Gigbyt; and
  6. act courteously towards Customers and Gigbyt staff and refrain from abusive or offensive behaviour.

6.4 Anti-bribery and corruption

You must comply with all applicable anti-bribery and anti-corruption laws in the jurisdictions in which you operate (for example, the UK Bribery Act 2010 or the US Foreign Corrupt Practices Act, where relevant).

6.5 Freedom to operate

You are free to:

  • work with other clients;
  • use other platforms (including competitors of Gigbyt); and
  • set your own hours and terms of business.

Accepting or rejecting Customers or jobs via Gigbyt is your choice. However, if you accept a Customer Contract through the Website, you are expected to honour your contractual commitments.

6.6 Your pricing

You set your own prices for End Services. We do not dictate your rates. You are responsible for ensuring your pricing is clear and lawful.

6.7 Business judgement

You acknowledge that you exercise your own commercial judgement in accepting or declining Customer Contracts and that you may make a profit or incur a loss depending on how you run your business.

7. Subscriptions

7.1 Subscription term and renewal

If you sign up to any Subscription Services:

  • your Subscription will start on the date you first sign up;
  • it will run for the subscription period stated at sign-up (for example, 30 days) (the “Subscription Period”); and
  • it will automatically renew for further Subscription Periods unless you cancel or we terminate.

7.2 Free trials

If a free trial is offered:

  • you may use the Subscription Service at no charge for the stated trial period (the “Trial Period”); and
  • unless you cancel before the end of the Trial Period, your Subscription will automatically convert to a paid Subscription and we will charge the applicable Subscription Fees for the next Subscription Period.

7.3 Cancelling a Subscription

You can cancel a Subscription at any time via your Account settings (where available) or by contacting us. Cancellation will take effect at the end of the current Subscription Period. You will not usually be entitled to a refund of any Subscription Fees already paid.

7.4 Verification within Subscriptions

Where a Subscription includes verification (for example, “Gigbyt Verified” or similar), that element of the Subscription is conditional on us being able to complete the relevant checks. If we cannot verify you or your business, we are not obliged to display a verification marker.

7.5 Add-On Services

Add-On Services may only be purchased as part of a Subscription. If the underlying Subscription ends, the associated Add-On Services will end at the same time. Clauses 7.1–7.3 apply equally to Add-On Services.

8. Payment and Credits

8.1 Purchasing Credits

To respond to Byts and access Contacts, you will generally need to redeem Credits. Credits can be purchased as one-off packs or included within certain Subscriptions. The cost and quantity of Credits will be clearly shown on the Website before purchase and may change from time to time. Applicable taxes (such as VAT) will be added where relevant.

8.2 Credit allocation

Credits are purchased in advance and then allocated to your Account. Different types of Credits may apply to different types of Byts (for example, Credits for Open Byts and Credits for Direct Byts). Any reallocation of Credits between categories is at Gigbyt’s discretion and may depend on the relative value of Byts in different categories. Credit reallocations will not result in cash refunds.

8.3 Using Credits – Open Byts

For Open Byts, the Website will display how many Credits are required to obtain a Contact. When you redeem the Credits, you will be given access to the relevant Contact details (subject to these Terms).

8.4 Using Credits – Direct Byts

For Direct Byts, Credits may be deducted when a Prospective Customer:

  • sends you a direct message via the Website;
  • submits a booking request or enquiry to you;
  • calls you via a tracked number displayed on the Website; or
  • requests that you call them back.

The specific trigger for deduction will be shown on the Website or in our help documentation.

8.5 Payment methods and recurring charges

If you purchase a Subscription or a Credit Subscription, you must provide a valid payment card or other accepted payment method. By signing up, you authorise us (or our payment processors) to charge that payment method automatically:

  • at the start of each Subscription Period; and/or
  • at the start of each Credit Subscription billing period,

for the relevant Fees until you cancel in accordance with these Terms.

8.6 Credit Subscriptions – term and changes

Credit Subscriptions are rolling arrangements that continue until cancelled in accordance with any notice period stated at sign-up (for example, 30 days). During the minimum term or notice period, you may not reduce the number of monthly Credits but you may usually increase them by contacting us.

8.7 Carry-over and expiry

We may specify expiry periods for Credits. Any validity periods or rollover rules will be stated on the Website at the time of purchase or in your Account. Unused Credits that expire will not be refunded or reinstated unless we agree otherwise.

9. Returns and Reinstatement of Credits

9.1 General position

Credits are non-refundable except in the limited cases below. In particular, you are not entitled to a Credit return simply because:

  • the Contact details are accurate but the Prospective Customer does not respond;
  • you are not selected for the job; or
  • the Prospective Customer chooses not to hire anyone.

9.2 Credit returns for faulty Contact details (Open Byts)

For Credits used on Open Byts, you may request a Credit return within 7 days of receiving a Contact if:

  1. the phone number provided is invalid (for example, calls cannot be connected); or
  2. the email address provided consistently bounces; or
  3. we can verify that the Contact details supplied do not belong to the person who submitted the Byt.

9.3 Credit returns for Direct Byts

For Credits used on Direct Byts, you may request a Credit return within 7 days if:

  1. the enquiry is clearly spam or fraudulent; or
  2. we can verify that the Contact details supplied do not belong to the person who submitted the enquiry.

9.4 How returns are provided

If we approve a Credit return:

  • we will re-credit your Gigbyt Account with the relevant number of Credits;
  • we will not provide a cash refund; and
  • any “one-click return” tools on the Website simply submit your request – actual returns are subject to the criteria above.

9.5 “Starter Pack” / first-purchase guarantee (if offered)

Where we operate a “first purchase” or “starter pack” guarantee for a particular promotional Credit pack, the details will be set out on the Website. Typically, this may involve:

  • you buying an initial pack of Credits;
  • using all of those Credits;
  • not securing any Customer Contract from those Contacts after a short period; and
  • requesting a reinstatement of the same number of Credits to your Account once those conditions are met.

Any such guarantee is subject to the specific conditions and limits advertised at the time, and you would usually only be eligible once per Professional.

10. Intellectual Property

10.1

The Website and all content supplied by Gigbyt (including text, graphics, logos, software and databases) are owned by or licensed to Gigbyt. Except as expressly permitted, this Agreement does not grant you any rights in Gigbyt’s intellectual property, trade names, trade marks or other proprietary rights.

10.2

You retain ownership of any intellectual property in the content you upload to the Website, including profile information, images, videos and reviews (“User Content”). You grant Gigbyt a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to use, reproduce, host, display, adapt, and distribute such User Content in connection with operating, marketing and improving the Website (for example, using screenshots of your profile in promotional materials).

11. Data Protection and Privacy

11.1

You must comply with all applicable data protection and privacy laws in the jurisdiction in which you operate, including in relation to any personal data (such as names, phone numbers, addresses or emails) that you receive from Gigbyt about Prospective Customers.

11.2

Where we provide a separate Data Processing / Controller Agreement or similar schedule (for example, to govern your use of Prospective Customers’ personal data), that schedule will apply in addition to this Agreement. You must:

  • only use Prospective Customers’ personal data for lawful purposes consistent with their expectations (such as responding to their Byts and providing quotes);
  • keep such data secure and confidential;
  • delete or anonymise it when no longer needed or when required by law; and
  • promptly notify Gigbyt of any data breach affecting Prospective Customers that you become aware of.

12. Liability

12.1 Your liability to Customers

You are solely responsible for providing End Services under your Customer Contracts. If you fail to perform those services properly, the Customer’s rights and remedies are against you, not Gigbyt. You agree that Gigbyt may suffer reputational harm if you act unlawfully or provide poor service.

12.2 Indemnity in favour of Gigbyt

You agree to indemnify and hold harmless Gigbyt, its directors, employees and representatives from and against all losses, claims, costs, damages, expenses and liabilities arising out of or in connection with:

  • your breach of this Agreement or any applicable law;
  • your provision (or non-provision) of End Services; or
  • any allegation that content you upload or supply infringes the intellectual property or other rights of any third party.

12.3 Release

You release Gigbyt from all claims, demands and damages (actual and consequential) arising out of or in any way connected with any dispute you have or may have with a Customer in relation to End Services, except to the extent that the dispute arises from Gigbyt’s own breach of this Agreement or the Terms of Use.

12.4 Limitation of liability

Subject to clause 12.6, Gigbyt’s total aggregate liability to you in connection with this Agreement (whether in contract, tort, negligence or otherwise) will be limited to the total value of Credits you have purchased from Gigbyt in the 12 months immediately prior to the event giving rise to the claim.

12.5 Excluded losses

Subject to clause 12.6, Gigbyt will not be liable to you for:

  1. loss of profit, revenue, sales or business;
  2. loss of goodwill, reputation or opportunity;
  3. any liability you may owe to your Customers or other third parties;
  4. loss of use or corruption of data; or
  5. any indirect, special or consequential loss or damage,

in each case whether arising in contract, tort (including negligence) or otherwise.

12.6 Non-excludable liability

Nothing in this Agreement excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability which cannot be excluded or limited under applicable law.

13. Confidentiality

13.1

Any non-public information that one party discloses to the other and marks as confidential, or would reasonably be considered confidential, must be kept confidential and used only for the purposes of performing this Agreement or using the Website.

13.2

Confidentiality obligations do not apply to information which:

  • is or becomes public other than through a breach of this Agreement;
  • was lawfully known to the receiving party before disclosure;
  • is independently developed without use of the disclosing party’s confidential information; or
  • must be disclosed by law or a competent authority.

13.3

Neither party may use the other’s name, logos or trade marks in public marketing without prior written consent.

14. Termination

14.1 Termination by Gigbyt

Without limiting any other rights, we may withdraw your registration as a Professional and/or suspend or terminate your Account immediately if:

  1. you fail to pay any sums due to us;
  2. you materially breach clauses 3 or 6 or otherwise misuse the Website;
  3. you receive an unusually high number of legitimate complaints or poor reviews from Customers or Prospective Customers;
  4. you upload illegal or seriously inappropriate content or use the Website for unlawful purposes;
  5. you repeatedly breach these Terms despite warnings;
  6. we reasonably consider that your continued use of the Website harms or may harm Gigbyt’s reputation; or
  7. you are the subject of a significant investigation by a regulatory authority relevant to your business.

14.2 Termination by either party

Either you or we may terminate your registration with immediate effect by written notice if the other party:

  • commits a material breach of these Terms and (where capable of remedy) fails to remedy it within a reasonable time;
  • becomes insolvent or unable to pay its debts; or
  • ceases or threatens to cease trading.

14.3 Cancelling Subscriptions

You may cancel Subscriptions in accordance with clause 7.3. Cancellation of a Subscription does not automatically close your Professional Account unless we or you expressly request it.

14.4 Stopping use of the Website

If you stop providing End Services or no longer wish to be listed on Gigbyt, you must notify us so we can remove or hide your profile and stop showing your details to Prospective Customers.

14.5 No refunds on termination

If your registration or Account is terminated, any unused Credits and Subscription time may be lost. Unless we are legally required to do so, we will not provide refunds of Credits or Subscription Fees when termination is due to your breach.

14.6 Effect on Customer Contracts

Ending this Agreement or closing your Account does not end Customer Contracts you have already entered into with Customers. Those contracts remain in force between you and the Customer.

15. Illegal or Harmful Content

15.1

Although we monitor the Website and perform checks as described in our policies, illegal or harmful content may occasionally appear on the Website (for example, offensive text or unlawful services).

15.2

We aim to reduce this risk by:

  • using automated tools and manual review to flag suspicious content or profiles;
  • removing illegal or clearly harmful content once detected; and
  • responding to reports from Users.

15.3

16.4 Your assignment

You may not assign, transfer, or subcontract your rights or obligations under this Agreement without our prior written consent.

16.5 Notices

Formal notices must be sent in writing to the postal or email addresses we each specify from time to time. Notices to Gigbyt should be sent to lewis@gigbyt.com or to our registered office.

16.6 No partnership or employment

Nothing in this Agreement creates a partnership, joint venture or employment relationship between you and Gigbyt, or authorises either party to act as agent for the other.

16.7 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.8 No waiver

If we delay or choose not to enforce a right under this Agreement, that does not prevent us from enforcing it later.

16.9 Governing law and jurisdiction

This Agreement (and any non-contractual obligations arising out of it) is governed by English law, and the courts of England and Wales will have exclusive jurisdiction over any disputes, unless mandatory law in your country of residence gives you additional rights.

16.10 Electronic communication

By using the Website, you agree that we may communicate with you electronically (for example, via email or in-platform notifications) and that such communications satisfy any legal requirement for written notice.
